Terms and Conditions for Netpap

Welcome to Netpap! These Terms and Conditions (“Terms”) govern your use of the Netpap WhatsApp bulk messaging application, platform, and related services (collectively, the “Service”). Please read these Terms carefully before using our Service.
By creating an account, or by accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.
1. Definitions
- “Netpap,” “we,” “us,” or “our” refers to Netpap, the company providing the Service.
- “User,” “you,” or “your” refers to the individual or entity that creates an account and uses the Service.
- “Recipient” refers to the end-user who receives messages from a User via the Service.
- “Content” means any information, text, graphics, or other materials uploaded, sent, or transmitted by you through the Service.
- “Meta Policies” refers to all applicable terms from Meta, including but not limited to the Meta Terms for WhatsApp Business, the WhatsApp Business Messaging Policy, the Meta Commerce Policy, and all other policies incorporated therein.
2. Description of Service
Netpap provides a platform that enables businesses and organizations (“Customers”) to send bulk and automated messages to their contacts via the WhatsApp Business Platform. We act as a “Technology Provider” as defined under the Meta Policies. The Service is provided for business or commercial use only.
3. User Accounts
To use the Service, you must register for an account. You agree to:
- Provide accurate, current, and complete information during the registration process.
- Maintain the security of your password and account credentials. You are solely responsible for any and all activities that occur under your account.
- Notify us immediately of any unauthorized use of your account.
4. User Responsibilities and Acceptable Use
You are solely responsible for your conduct, your Content, and your compliance with all applicable rules and regulations while using the Service.
- Acceptance of Meta’s Terms: To use the Service, you must agree to all applicable Meta Policies. By using our Service, you represent and warrant that you have accepted the Meta Policies and you authorize Netpap to act on your behalf to access and use the WhatsApp Business Solution in accordance with those policies.
- Compliance with Laws: You will comply with all applicable local and international laws and regulations, including but not limited to those related to data privacy, marketing, and communications.
- Compliance with Meta and WhatsApp Policies: You must, at all times, use the Service in strict compliance with the Meta Policies. We reserve the right to immediately suspend or terminate your account for any violation.
- Recipient Consent (Opt-In): You represent and warrant that you have obtained all necessary permissions and valid consent from each Recipient before sending them any messages through the Service. You must keep a record of these consents and provide them to Netpap upon request.
- Opt-Out Mechanism: You must provide a clear, easy, and free way for Recipients to opt-out of receiving future messages from you (e.g., by replying “STOP”). You must honor all opt-out requests promptly.
- Prohibited Content: You may not use the Service to send Content that is illegal, fraudulent, harassing, defamatory, obscene, promoting hate speech or violence, infringing on intellectual property rights, or related to the sale of illegal products or services as defined by law and the Meta Policies.
5. No Resale or Unauthorized Use
You agree that you will not permit any third party to access or use the Service in a way that violates these Terms or the Meta Policies. You are expressly prohibited from:
- Reselling the Service or the WhatsApp Business Solution to any third party.
- Allowing third parties to integrate with, access, or use the WhatsApp Business Solution through your Netpap account, other than as explicitly permitted for your internal business purposes.
6. Fees, Payments, and Subscriptions
- Payment: You agree to pay all applicable fees for the Service as described on our pricing page. All fees are due in advance and are non-refundable.
- Billing: The Service is billed on a subscription basis. Your subscription will automatically renew at the end of each billing cycle unless you cancel it.
- Changes: We reserve the right to change our prices at any time. We will provide you with reasonable notice of any price changes.
7. Intellectual Property
- Our IP: Netpap retains all rights, title, and interest in and to the Service, including all related software, logos, and trademarks.
- Your IP: You retain all ownership rights to the Content you transmit through the Service. You grant Netpap a worldwide, non-exclusive, royalty-free license to use, reproduce, and transmit your Content solely for the purpose of providing the Service to you.
8. Termination
- By You: You may terminate your account at any time by contacting our support team.
- By Us: We may suspend or terminate your access to the Service at any time, without prior notice or liability. Reasons for such termination include, but are not limited to: (a) a breach of these Terms or the Meta Policies; (b) if we believe, in our sole discretion, that your use of the Service poses a security risk, could subject us or Meta to liability, or could harm the integrity of the WhatsApp platform; (c) a request from Meta or law enforcement.
- Effect of Termination: Upon termination, your right to use the Service will immediately cease. All outstanding payment obligations will become due.
9. Disclaimer of Warranties and Limitation of Liability
- THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. NETPAP MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SERVICE’S RELIABILITY, AVAILABILITY, OR ACCURACY.
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, NETPAP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, RESULTING FROM YOUR USE OF THE SERVICE.
10. Indemnification
You agree to defend, indemnify, and hold harmless Netpap, its affiliates, and its employees from and against any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising out of or related to: (a) your access to or use of the Service; (b) your Content and Recipient Data; (c) your violation of these Terms; (d) your failure to obtain valid, documented consent from your Recipients; or (e) your violation of any Meta Policies or any applicable law or regulation. You agree that you are jointly and severally liable for any harm that results from these violations.
11. Governing Law
These Terms shall be governed and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law provisions.
12. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on our website. You are advised to review these Terms periodically for any changes.
